Current Events Surrounding SWC

Dear SWC Members,

I hope this beautiful fall season finds you well. At SWC, Mother Nature is doing her annual leaf dump on the club. Our grounds crew are doing their best to keep up…and we have a lady who comes in first week of each month to clean and re-stock the restrooms. Speaking of the restrooms, given what we experienced last year with busted pipes, we are going to shut the water off to the club for winter and reopen them in the spring. Port-a-johns will be made available.


Board is Down to Five – Julie Franklin Resigns

Normally this time of year the SWC Board gets a break in terms of club commitments. Unfortunately, the potential sale of SWC has changed that. Since the results of our recent straw vote on selling the club were distributed a few weeks ago, we’ve had one board member resign, Julie Franklin. Julie has been an integral part of our club, taking care of all manner of loose-ends throughout the year and being a leading force for our swim team. She, like myself, did not sign up for all the hassle/leg-work/meetings that are going to have to happen to make this sale work. THANK YOU FOR EVERYTHING JULIE!!

The SWC Board is now down to 5 people: Michael White (prez), John McCulla (treas.), Sandra Cayce (social director & legal advisor), Matt McKinney (advisor), Dana Leshley (membership director) and Winfred Bailey (grounds director).


Offer to Sell the Club

Since the offer was made back in August, we’ve held an informational meeting for members, done some preliminary due diligence to determine if selling the club was viable, and conducted a straw vote to determine if we should get serious – in other words, start spending money to make the sale happen.

I will be the first to admit, that we on the board have been in no rush to make this sale happen. We are taking our time, with every intention of making it happen. We all have busy lives and volunteered to run a non-profit swim/tennis club – not manage the sale of the club. Unfortunately, we have a handful of members who do not see it that way. They are pressing hard to get things moving quickly as possible, going so far a accusing the board as “refusing to act”.

I assure you, the board and I are not “refusing to act”. We simply have not been moving at a pace these anxious members expect. At the annual membership meeting in December, new board members will be nominated and voted upon.


Annual Members Meeting

We have reserved the Stapleton Center which is the lower level of the Church at St.Jude for December 6 from 3-5PM. At this meeting, I will introduce the board and summarize the objectives of the meeting which are to nominate and vote on new board members, and have an open discussion around current events / next steps. 

The following are points from the club by-laws pertinent to board membership:

  • Board of Directors: The Corporation shall be managed by a Board of Directors, twelve in number. The Directors shall be elected from the membership of the Corporation, at the annual meeting of the members.
  • Term of Directors: All elected directors serve a three-year term and may, upon approval of the Board, be nominated to succeed themselves.
  • Vacancies: When a vacancy occurs on the Board of Directors, such vacancy shall be filled by the remaining directors for the unexpired term of the vacancy. Any director appointed in this manner, who serves eighteen (18) months or more, may not succeed himself.
  • Quorum: A majority of the Board of Directors (in person) plus 25% of the remaining members (in person or by proxy) shall constitute a quorum for any annual or special meeting. A member may vote in person or by written proxy.
  • Nominating Committee: At least thirty days prior to the annual meeting, the Board of Directors shall appoint a Nominating Committee which shall propose members of the Corporation for election to the Board of Directors. The Nominating Committee shall present its selection to the members at the annual meeting. Other nominations may be made from the floor at the annual meeting.

Please Note: no such “nominating” committee has been named. In lieu of such a committee, we will send a separate email to solicit nominations. Nominations will be presented at the meeting and approved by a simple majority vote.

  • Solicitation of Property: In the event that any administration of the Spalding Woods Club is approached, or attempts voluntarily to solicit the sales of the properties owned by Spalding Woods (a corporation), a ballot vote of three-fourths of the active members is required for its approval.
